Therapist Agreement

These terms are between you and NMA Counselling Limited (trading as “Unspool”), a company registered in England and Wales, company number 15579538, registered office 17 Groom House, Grover Close, Hemel Hempstead, HP2 5FZ.

Relationship

You are engaged as an independent contractor, not an employee, worker, agent, or partner of NMA Counselling Limited. You are responsible for your own tax, National Insurance, professional indemnity insurance, and accreditation with your relevant professional body (e.g. BACP, UKCP, HCPC, BPS).

Fees and payment

  • Clients are charged £68 per session through our payment platform (Stripe).
  • You are paid £50 per completed session. NMA Counselling Limited retains the remaining £18 as its platform fee.
  • Payouts are processed weekly for all sessions completed in the prior week, paid directly to your nominated bank account.
  • No payment is due for sessions cancelled with 24+ hours’ notice by the client, or for no-shows, unless our cancellation policy (Terms of Service, §5) provides otherwise.
  • If you cancel a session, the client will be refunded in full and no fee is payable to you for that session.

Standards of practice

You must hold current, valid accreditation/registration with an appropriate UK professional body, maintain your own professional indemnity insurance, and practise within your professional body’s code of ethics at all times. You are solely responsible for the clinical content, safety, and conduct of your sessions.

Vetting and ongoing eligibility

We may carry out reasonable vetting checks before onboarding you (qualifications, accreditation, references) and may periodically request updated proof of accreditation/insurance. We may suspend or remove you from the platform if you fail to maintain these standards, or if a serious complaint or safeguarding concern is raised.

Confidentiality and data protection

You must treat all client information shared via Unspool (intake summaries, contact details, session content) as confidential, and comply with UK GDPR and your own professional body’s confidentiality standards. You must not share client data outside the purpose of providing therapy.

Client relationships

Clients are introduced to you via our matching process. You agree not to solicit an Unspool-introduced client to move their paid sessions off-platform in order to avoid our fee, for as long as this agreement is in effect and for 12 months after it ends.

Independence

You set your own clinical approach, availability, and professional judgement. We do not direct or supervise how you conduct therapy, and are not responsible for your advice, diagnosis, or treatment decisions.

Termination

Either party may end this agreement at any time with 14 days’ written notice. We may terminate immediately if you breach your professional obligations, lose accreditation, or in the case of a serious safeguarding or conduct concern.

Liability

You are responsible for your own professional indemnity cover. NMA Counselling Limited is not liable for claims arising from the therapy you provide.

Governing law

This agreement is governed by the laws of England and Wales.
